1. About Cobal Studios LLC

Cobal Studios LLC is a boutique digital design and development studio registered in the State of New Mexico, United States, operating from New York, NY. We provide mobile application development (iOS and Android), web design and development, and UI/UX design services to clients globally.

2. Acceptance of Terms

By visiting our website at cobalstudios.io or engaging us for services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

3. Services & Digital Products

Cobal Studios LLC offers the following professional services:

• Native iOS application design and development
• Native Android application design and development
• Web design and front-end development
• UI/UX design, prototyping, and design systems
• AI integration and machine learning feature implementation
• Product strategy and design consultation

The specific scope, deliverables, timeline, and pricing for each project are defined in a separate written agreement or Statement of Work (SOW) executed between Cobal Studios LLC and the client prior to project commencement.

For users of our mobile applications (such as PortraitApp), use of the application is also subject to the Apple App Store Terms of Service and/or Google Play Terms of Service, as applicable, and any End User License Agreement (EULA) provided within the application. In the event of a conflict between these Terms and the platform's terms, the platform's terms shall govern with respect to the distribution and use of the application.

4. Project Agreements & Payment

All projects require a signed agreement outlining scope, timeline, and payment terms before work begins. Standard payment terms are as follows unless otherwise agreed in writing:

• A deposit of 50% of the total project fee is due upon signing the project agreement
• The remaining balance is due upon project completion and delivery
• For longer engagements, milestone-based payment schedules may be established
• Invoices are due within 14 days of issuance unless otherwise agreed
• Late payments may incur interest at a rate of 1.5% per month

Payments for digital products or subscriptions made through third-party platforms (such as the Apple App Store or Google Play) are subject to that platform's refund policies. Cobal Studios LLC does not directly process refunds for transactions completed through third-party platforms. 5. Intellectual Property

Upon receipt of full and final payment, Cobal Studios LLC transfers ownership of all custom deliverables created specifically for the client's project, including designs, source code, and assets, unless otherwise specified in the project agreement.

Cobal Studios LLC retains the right to:

• Display completed work in our portfolio and marketing materials
• Use general methodologies, frameworks, and know-how developed during the project
• Retain ownership of any pre-existing tools, libraries, or proprietary frameworks incorporated into deliverables, with a license granted to the client for use within the delivered project

Third-party assets, fonts, stock imagery, or software libraries used in a project remain subject to their respective license agreements. The client is responsible for obtaining and maintaining appropriate licenses for any third-party materials.

6. Client Responsibilities

To ensure a successful project outcome, clients agree to:

• Provide accurate, timely, and complete information required for the project
• Review and provide feedback on deliverables within agreed timeframes
• Ensure all content, assets, and materials provided to Cobal Studios LLC are owned or properly licensed by the client
• Designate a primary point of contact with authority to make project decisions
• Make payments according to the agreed schedule

7. Revisions & Scope Changes

Each project agreement specifies the number of revision rounds included. Requests for changes beyond the agreed scope or revision rounds will be assessed and quoted separately. Significant scope changes may require a revised project agreement. Cobal Studios LLC will communicate any scope change implications in writing before proceeding.

8. Confidentiality

Both parties agree to treat as confidential any proprietary information, business data, or trade secrets shared during the course of the engagement. This obligation survives the termination of our working relationship. We will not disclose your confidential information to third parties without your written consent, except as required by law.

9. Cancellation & Termination

Either party may terminate a project agreement with 14 days written notice. In the event of termination:

• The client is responsible for payment for all work completed up to the termination date
• Deposits are non-refundable once work has commenced
• Cobal Studios LLC will deliver all completed work and assets upon receipt of outstanding payment
• If Cobal Studios LLC terminates due to client breach, the full project fee remains due

10. Warranties & Disclaimers

Cobal Studios LLC warrants that services will be performed with professional skill and care in accordance with industry standards. We warrant that deliverables will function as specified in the project agreement at the time of delivery.

We do not warrant that our services will be uninterrupted or error-free beyond the agreed project scope, or that any application will achieve specific business outcomes, rankings, or performance metrics. Our website is provided "as is" without warranties of any kind.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Cobal Studios LLC's total liability to any client for any claim arising out of or related to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim during the preceding 12 months.

In no event shall Cobal Studios LLC be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

12. Governing Law & Dispute Resolution

These Terms and any project agreements are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in New York, NY.

13. Website and Application Use

You agree to use our website and any applications we develop only for lawful purposes and in a manner that does not infringe the rights of others. You may not use our platforms to transmit any harmful, offensive, or unauthorized content, attempt to gain unauthorized access to our systems, or engage in any activity that disrupts or interferes with our services.

Users are solely responsible for any content they upload, submit, or create through our services or applications. Cobal Studios LLC reserves the right to remove any content that violates these Terms, applicable law, or is deemed inappropriate at our sole discretion, without prior notice.

Any misuse of our applications, including attempts to reverse-engineer, decompile, or circumvent security measures, is strictly prohibited and may result in immediate termination of access and potential legal action.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated date. Continued use of our website or services after changes constitutes acceptance of the revised Terms. For active client projects, material changes to terms will be communicated directly.
